1. Acceptance of Terms
Welcome to Sessionably ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our Electronic Health Record (EHR) platform located at https://sessionably.com (the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Sessionably is a HIPAA-compliant Electronic Health Record platform designed for mental health clinicians. The Service includes:
- Patient record management
- Appointment scheduling
- Clinical note-taking and documentation
- Document management and e-signatures
- Invoice creation and payment processing
- Client portal for patient access
- SMS notifications
- Audit logging and compliance reporting
3. Eligibility
3.1 Age Requirement
You must be at least 18 years old to use the Service.
3.2 Professional Requirements
To use the Service for clinical purposes, you must:
- Be a licensed healthcare professional authorized to practice in your jurisdiction
- Maintain current professional licensure
- Comply with all applicable professional standards and regulations
- Have the legal authority to enter into binding agreements
3.3 Account Registration
To use the Service, you must:
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
4. User Accounts
4.1 Account Security
You are responsible for:
- Maintaining the confidentiality of your username and password
- All activities that occur under your account
- Immediately notifying us of any unauthorized use of your account
- Ensuring that you log out from your account at the end of each session
4.2 Account Types
We offer different account types:
- Clinician Accounts: For licensed healthcare professionals
- Admin Accounts: For practice administrators
- Client Accounts: For patients to access their documents
4.3 Account Suspension or Termination
We reserve the right to suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent, illegal, or harmful activities
- Fail to pay applicable fees
- Violate HIPAA or other applicable laws
- Threaten the security or integrity of the Service
5. Acceptable Use
5.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to:
- Use the Service in compliance with all applicable laws and regulations
- Maintain patient privacy and confidentiality
- Comply with HIPAA requirements
- Use the Service for legitimate clinical and business purposes
- Respect the intellectual property rights of others
5.2 Prohibited Activities
You agree NOT to:
- Violate laws or regulations: Use the Service for any illegal purpose or in violation of any local, state, national, or international law
- Infringe on rights: Infringe on the intellectual property or other rights of any person or entity
- Harm others: Harass, abuse, harm, or threaten others
- Interfere with service: Attempt to interfere with, disrupt, or damage the Service
- Unauthorized access: Attempt to gain unauthorized access to any part of the Service or any other system or network
- Data mining: Use automated systems to scrape, data mine, or extract data from the Service
- Reverse engineer: Attempt to reverse engineer, decompile, or disassemble the Service
- Resell: Resell, lease, or sublicense the Service without our written permission
- Impersonate: Impersonate any person or entity or falsely state or misrepresent your affiliation
- Transmit malware: Transmit any viruses, worms, defects, or other destructive items
6. HIPAA Compliance
6.1 Your HIPAA Obligations
As a Covered Entity or Business Associate, you agree to:
- Comply with all HIPAA requirements
- Implement appropriate safeguards to protect Protected Health Information (PHI)
- Use the Service only for authorized purposes
- Notify us immediately of any suspected security breach
- Cooperate with any security investigations
- Maintain appropriate Business Associate Agreements with your own business associates
6.2 Our HIPAA Compliance
We maintain HIPAA compliance through:
- Business Associate Agreements with all service providers
- Administrative, physical, and technical safeguards
- Audit logging of all PHI access
- Encryption of data in transit and at rest
- Regular security assessments
- Incident response procedures
6.3 Breach Notification
In the event of a security breach involving PHI:
- We will notify you within 24 hours of discovery
- We will cooperate with your breach response procedures
- We will assist with any required notifications to patients or regulators
- You remain responsible for all breach notification obligations under HIPAA
7. Fees and Payment
7.1 Subscription Fees
- Pricing: $50 per clinician per month
- Billing: Monthly recurring charges
- Payment: Processed securely through Stripe
7.2 Payment Terms
- You authorize us to charge your payment method for all fees
- Fees are non-refundable except as required by law
- We reserve the right to change pricing with 30 days' notice
- Failure to pay may result in service suspension or termination
7.3 Stripe Payment Processing
- Payments are processed by Stripe, a third-party payment processor
- We do not store your complete payment card information
- Stripe's terms of service and privacy policy apply to payment processing
- You agree to provide accurate payment information
7.4 Refunds
- Refunds are provided only as required by law
- No refunds for partial months of service
- Refunds processed within 30 days of request approval
8. Intellectual Property
8.1 Our Intellectual Property
The Service and its original content, features, and functionality are owned by Sessionably and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
8.2 Your Data
You retain all rights to your data, including:
- Patient records
- Clinical notes
- Documents
- Any other content you upload to the Service
8.3 License to Use Your Data
By using the Service, you grant us a limited, non-exclusive license to:
- Store, process, and transmit your data as necessary to provide the Service
- Use your data to improve and maintain the Service
- Comply with legal obligations
- Prevent fraud and abuse
8.4 Feedback
Any feedback, comments, or suggestions you provide about the Service may be used by us without compensation or attribution.
9. Data Ownership and Portability
9.1 Your Data
You own and retain all rights to your data. You can:
- Access your data at any time through the Service
- Export your data in standard formats
- Request deletion of your data (subject to legal retention requirements)
9.2 Data Export
Upon request, we will provide you with a copy of your data in a standard, portable format within 30 days.
9.3 Data Deletion
You can request deletion of your account and data. However, we may retain certain data:
- As required by law (HIPAA, tax, accounting)
- To resolve disputes
- To prevent fraud or abuse
- In anonymized form for analytics
10. Service Availability
10.1 Uptime
We strive to provide 99.9% uptime but do not guarantee uninterrupted or error-free service.
10.2 Maintenance
We may:
- Perform scheduled maintenance with advance notice when possible
- Perform emergency maintenance without notice
- Suspend service to address security threats
- Update or modify the Service at any time
10.3 Service Limitations
We are not liable for:
- Service interruptions due to circumstances beyond our control
- Third-party service outages (e.g., internet providers, cloud providers)
- Force majeure events
11. Disclaimers
11.1 No Medical Advice
The Service is a tool for managing patient records and is not a substitute for professional medical judgment. We do not provide medical advice, diagnosis, or treatment.
11.2 Service "As Is"
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Warranties of merchantability
- Warranties of fitness for a particular purpose
- Warranties of non-infringement
- Warranties that the Service will be uninterrupted, secure, or error-free
11.3 Third-Party Services
The Service integrates with third-party services (Backblaze, Twilio, Stripe, Vercel). We are not responsible for:
- The availability or functionality of third-party services
- Third-party service outages or failures
- Third-party terms of service or privacy policies
12. Limitation of Liability
12.1 Exclusion of Damages
To the maximum extent permitted by law, we shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Business interruption
- Personal injury or property damage
- Any damages arising from your use of the Service
12.2 Maximum Liability
Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months prior to the claim.
12.3 Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some of the above limitations may not apply.
13. Indemnification
You agree to indemnify, defend, and hold harmless Sessionably and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of any third-party rights
- Any content you submit to the Service
- Your failure to comply with HIPAA requirements
14. Termination
14.1 Termination by You
You may terminate your account at any time by:
- Contacting us at support@sessionably.com
- Canceling your subscription through your account settings
14.2 Termination by Us
We may terminate or suspend your account immediately, without prior notice, if you:
- Violate these Terms
- Engage in fraudulent or illegal activities
- Fail to pay applicable fees
- Violate HIPAA or other applicable laws
- Threaten the security or integrity of the Service
14.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- We will retain your data for 30 days for export purposes
- After 30 days, we may delete your data (subject to legal retention requirements)
- You remain responsible for all fees incurred before termination
15. Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Colorado, without regard to its conflict of law provisions.
15.2 Jurisdiction
Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Boulder County, Colorado.
15.3 Informal Dispute Resolution
Before filing any formal legal action, you agree to:
- Contact us at support@sessionably.com to attempt informal resolution
- Allow us 30 days to respond and attempt to resolve the dispute
15.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
16. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting the new Terms on this page
- Updating the "Last Updated" date
- Sending you an email notification (for significant changes)
Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and HIPAA Notice of Privacy Practices, constitute the entire agreement between you and Sessionably regarding the Service and supersede all prior agreements and understandings.
19. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
